Any and all images, photographs, logos, slogans, sounds, brands, text, statements, designs, including domain names, user interfaces, color combinations and visual identity used, incorporated and appearing on UQBITZ's websites, platforms and communication materials, constitute the sole and exclusive intellectual property of UQBITZ or are duly authorized and licensed by third parties.

The use, reproduction, distribution or exhibition, in whole or in part, of any UQBITZ intellectual property by third parties is not permitted or authorized without its prior and express consent.

Intellectual property regarding projects developed by UQBITZ for its CLIENTS is governed by section 2.7 of these Terms.

14.1. UQBITZ Platform Software

The software that makes up the UQBITZ platform — source code and object code, architecture, database schemas, APIs, command-line interface, agent, control panel, design system, technical documentation, infrastructure scripts and machine images — is the sole and exclusive property of UQBITZ, protected by Brazilian Law No. 9,609/1998, Law No. 9,610/1998 and applicable international treaties.

The platform is offered exclusively as a service hosted and operated by UQBITZ. There is no edition intended for installation on the CLIENT's or a third party's infrastructure, and the software is not delivered to the CLIENT in any form.

Section 2.7 applies only to the projects described therein and does not reach the platform software. Any access to the platform's source code, by any means, transfers no ownership and grants no license to use, copy or exploit it.

14.2. License granted to the CLIENT

While the contract is in force and financial obligations are current, UQBITZ grants the CLIENT a non-exclusive, non-transferable, non-sublicensable and revocable license to use the Services, through the control panel, the API, the command-line interface and the official connectors, for the purposes set out in these Terms.

The license covers the use of the Services and does not cover the software itself. No provision of these Terms, of a commercial proposal or of promotional material grants the CLIENT any right, license or expectation of right over the platform software.

14.3. Restrictions

The CLIENT, its users and any person who obtains access to the platform software may not:

  1. Copy, reproduce, publish or distribute the software, in whole or in part;
  1. Modify, adapt, translate or create derivative works;
  1. Sublicense, sell, rent, lend, assign or transfer the software;
  1. Reverse engineer, decompile or disassemble it, except to the extent expressly authorized by mandatory law;
  1. Remove, conceal or alter ownership, copyright or trademark notices;
  1. Use the software, its architecture or its documentation to develop a competing product or service;
  1. Reconstruct or replicate the software from the observed behavior of the Services.

Failure to comply with this section authorizes immediate suspension or termination, as set out in section 11 of these Terms, without prejudice to applicable judicial measures and compensation for losses and damages.

14.4. Third-party components

The platform integrates third-party components distributed under their own licenses, which govern those components exclusively and neither extend to UQBITZ software nor grant the CLIENT any right over it.

14.5. Reciprocal confidentiality and suggestions

The platform's source code, internal architecture and engineering artifacts are confidential information of UQBITZ. Anyone who obtains access to them, on any basis, undertakes to keep them confidential and to use them only for the authorized purpose, an obligation that survives the end of the contractual relationship.

The data, content, code, documents and business information to which UQBITZ has access by reason of the provision of the Services are confidential information of CLIENT. UQBITZ undertakes to keep them confidential, to use them only as necessary for the contracted provision and not to disclose them to third parties, an obligation that likewise survives the end of the contractual relationship.

The duty of confidentiality of both parties does not extend to information that is or becomes public without fault of the party that received it, that was already known before access, or whose disclosure is required by law or by order of a competent authority — in which case the party served will inform the other, where the law or the order itself does not prohibit communication.

The processing of personal data follows the Privacy Policy and Law No. 13,709/2018, and the obligations of this subsection are additional to it and do not replace it.

Suggestions, ideas and reports sent by the CLIENT may be used freely by UQBITZ to improve the Services, without generating co-authorship, consideration or any right over the software.
